You are responsible for ensuring that anyone placing orders or communicating with Grasigner on your behalf has the authority to do so.
3Client Images and Intellectual Property
You retain ownership of the original images, photographs, logos, artwork, and other materials that you provide to Grasigner.
By submitting an image or other material to us, you confirm that:
- You own the material or have the necessary rights and permissions to use it.
- You have the legal authority to request editing of the material.
- The material does not knowingly violate any third-party copyright, trademark, privacy, publicity, or other legal rights.
- Your requested edits do not involve unlawful activity.
Grasigner does not claim ownership of your original files or the intellectual property contained within them.
You are responsible for obtaining any necessary permissions from photographers, models, brands, copyright owners, or other rights holders.
4Confidentiality and Image Security
We understand that photographs and business assets can be confidential and commercially sensitive.
Grasigner will use client-provided images and information only for the purpose of providing the requested services, unless otherwise authorized by the client.
We will not intentionally sell, publish, distribute, or use your images for advertising, portfolio purposes, or other commercial purposes without your permission.
Our team members and authorized personnel may be subject to confidentiality obligations relating to client information and materials.
However, while we take reasonable measures to protect client information, no online transmission, storage system, or electronic communication can be guaranteed to be completely secure.
5Uploading and Submitting Files
Clients are responsible for providing the correct files, instructions, references, specifications, and requirements necessary to complete an order.
We generally accept commonly used image formats, including JPG, JPEG, PNG, TIFF, PSD, EPS, PDF, RAW and other formats depending on the project requirements.
If files are corrupted, incomplete, inaccessible, incorrectly labeled, or unsuitable for the requested service, the delivery time may be affected.
Grasigner may contact the client for clarification when necessary.
6Editing Instructions
Clients should provide clear instructions before or when placing an order. Instructions may include:
- Required dimensions
- Output format
- Background requirements
- Cropping instructions
- Color references
- Shadow requirements
- Retouching requirements
- Masking requirements
- File naming conventions
- Resolution requirements
- Specific areas that must remain unchanged
If instructions are unclear or incomplete, Grasigner may request clarification.
If we cannot obtain clarification within a reasonable period, we may proceed using our professional judgment based on the information available.
7Quotes and Pricing
The price of an order may depend on factors including:
- Service type
- Number of images
- Image complexity
- Editing requirements
- Required output format
- Turnaround time
- Additional revisions
- Special instructions
- Urgency or rush requirements
Prices shown on the website may represent starting prices and may not apply to every image or project.
For complex or custom projects, Grasigner may provide an individual quotation.
A quotation may expire if it is not accepted within the period specified by Grasigner.
8Order Confirmation
An order is considered confirmed when the client has accepted the quotation, submitted the required files and instructions, or otherwise confirmed the project with Grasigner.
Grasigner reserves the right to decline an order where the requested work is technically impractical, unlawful, inappropriate, or outside our available services.
9Turnaround Time
Turnaround times depend on the service, image complexity, number of images, project requirements, and selected delivery schedule.
Any turnaround time provided by Grasigner is an estimated production timeframe unless specifically agreed in writing as a guaranteed deadline.
The delivery period may be affected by:
- Late file submission
- Missing instructions
- Client-requested changes
- Additional requirements
- Technical problems
- Large or complex orders
- File transfer problems
- Force majeure events
- Delays caused by third-party systems or services
Rush or expedited orders may be subject to additional charges.
10Delivery
Completed files will normally be delivered through the agreed method, which may include download links, cloud storage, FTP, email, client dashboard, or another approved file-transfer method.
The client is responsible for downloading and securely storing delivered files.
Grasigner is not responsible for loss of files after successful delivery if the client fails to maintain an appropriate backup.
11Quality and Revisions
Grasigner aims to deliver professional, accurate, and high-quality results based on the client’s instructions.
If you believe an image does not meet the agreed requirements, you should contact us and provide specific feedback.
Where the issue is caused by an error or failure to follow the agreed instructions, Grasigner will make reasonable corrections without additional editing charges.
Additional editing requests that were not included in the original instructions may be treated as a new service and may incur additional charges.
12Client Review
Clients should review delivered images as soon as reasonably possible.
For large orders, we encourage clients to review an initial portion of the completed work before requesting completion of the entire project when this is operationally possible.
If a client identifies an issue, they should provide clear instructions or reference examples so that our team can understand the requested correction.
13Cancellation of Orders
An order may be cancelled before production begins, subject to any applicable agreement between Grasigner and the client.
If production has already started, cancellation may not qualify for a full refund because resources, editing time, and production costs may already have been incurred.
For large, custom, rush, or ongoing projects, separate cancellation terms may apply.
14Payment
Payment must be made according to the payment terms agreed between Grasigner and the client.
Depending on the customer and project, payment arrangements may include:
- Payment before production
- Payment upon completion
- Monthly billing
- Recurring billing
- Agreed credit terms
- Other written arrangements
Clients with approved credit or monthly billing arrangements are responsible for paying invoices within the agreed payment period.
Grasigner reserves the right to suspend or pause services where invoices remain unpaid beyond the agreed payment terms.
15Refunds
Refund requests will be reviewed individually.
A refund may be considered where Grasigner has failed to provide the agreed service and is unable to reasonably correct the issue.
Refunds may not be available where:
- The client changes their requirements after production
- The client provides incorrect or incomplete instructions
- The client no longer needs the images
- The client supplied unsuitable source material
- Work was completed according to the agreed specifications
- The client requests work substantially different from the original order
Where appropriate, Grasigner may offer corrections, revisions, credits, or partial refunds instead of a full refund.
16Intellectual Property in Edited Files
Unless otherwise agreed, the client retains rights to the original content supplied by the client.
Once the applicable invoice has been fully paid, the client may use the completed edited files for their intended business or personal purposes, subject to any third-party rights contained in the original material.
Grasigner retains ownership of its internal workflows, techniques, processes, templates, scripts, tools, systems, and proprietary methods used to provide the service.
17Prohibited Content and Requests
Grasigner may refuse to process content or requests that violate applicable law or involve unlawful activity.
We may also refuse work that could reasonably expose Grasigner, its employees, contractors, partners, or service providers to legal or security risks.
Where appropriate, Grasigner may request additional information about a project before accepting an order.
18Third-Party Services
Grasigner may use third-party platforms, hosting providers, cloud storage services, communication tools, payment processors, or file-transfer services to operate its business.
We take reasonable care when selecting and using such services, but we are not responsible for outages, failures, security incidents, or interruptions that are solely caused by third-party providers.
19Website Availability
We aim to keep grasigner.com available and operational, but we do not guarantee uninterrupted access. The website may occasionally be unavailable because of:
- Maintenance
- Technical problems
- Hosting issues
- Security measures
- Software updates
- Internet or telecommunications failures
- Circumstances outside our reasonable control
We may modify, suspend, or discontinue portions of the website or services without prior notice where reasonably necessary.
20Limitation of Liability
To the maximum extent permitted by applicable law, Grasigner will not be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from the use of our website or services.
Where liability cannot legally be excluded, Grasigner’s liability will be limited to the amount actually paid by the client for the specific service giving rise to the claim, unless applicable law requires otherwise.
Nothing in these Terms & Conditions is intended to exclude or limit liability that cannot legally be excluded or limited.
21Client Responsibility for Backups
Clients should retain original copies and appropriate backups of all files submitted to Grasigner.
Grasigner is not intended to be a permanent archival or backup service.
Once an order has been completed and the applicable retention period has passed, files may be deleted from our systems.
Clients should not rely on Grasigner as their sole storage location for original or edited files.
22File Retention and Deletion
Grasigner may retain client files for a reasonable period after project completion to facilitate revisions, quality checks, customer support, or operational requirements.
Files may subsequently be deleted in accordance with our internal data-retention practices.
If a client requires specific retention or deletion arrangements, these should be agreed with Grasigner in writing before or during the project.
23Privacy
Your use of Grasigner’s website and services is also subject to our Privacy Policy.
Our Privacy Policy explains what information we collect, how we use it, and how we seek to protect it.
Please review the Privacy Policy available on grasigner.com before submitting personal or confidential information.
24Communication
We may communicate with clients by email, telephone, messaging applications, client dashboards, or other agreed communication channels.
Clients are responsible for providing accurate contact information and checking communications relating to their orders.
Grasigner is not responsible for delays caused by incorrect contact information or failure to review important order communications.
25Custom Projects
For large-volume, long-term, enterprise, or custom projects, Grasigner may enter into a separate service agreement, quotation, NDA, SLA, or other written contract with the client.
Where such an agreement conflicts with these Terms & Conditions, the specific written agreement will generally take precedence for that project.
26Force Majeure
Grasigner will not be responsible for delays or failures caused by circumstances beyond our reasonable control.
Such circumstances may include natural disasters, severe weather, war, civil unrest, government action, power failures, internet outages, cyber incidents, labor disruptions, major technical failures, or other unforeseen events.
We will make reasonable efforts to resume services as soon as practical.
27Changes to These Terms
Grasigner may update these Terms & Conditions from time to time to reflect changes in our services, business practices, technology, or legal requirements.
The updated version will be published on grasigner.com.
Your continued use of our website or services after updated terms become effective constitutes acceptance of the revised terms, to the extent permitted by applicable law.
28Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the applicable laws of Bangladesh, unless a separate written agreement between Grasigner and the client specifies otherwise.
Any dispute should first be addressed through good-faith communication between the client and Grasigner.
Where a dispute cannot be resolved amicably, it may be subject to the jurisdiction of the appropriate courts or dispute-resolution forum under applicable law.
29Severability
If any provision of these Terms & Conditions is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
30Entire Agreement
These Terms & Conditions, together with any applicable quotation, order confirmation, invoice, service agreement, NDA, or other written agreement between Grasigner and the client, constitute the understanding between the parties regarding the applicable services.
